End User License Agreement

This End User License Agreement (“Agreement”) governs use of CFS Draw Poster (the “Application”), an internal software integration owned and operated by Libra Enterprises, LLC dba Construction Financial Solutions (“CFS”). By accessing or using the Application, you (“you,” the authorized user) agree to this Agreement.

1. License

CFS grants its authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Application solely for CFS’s internal business purpose of recording construction-loan draw disbursements in CFS’s QuickBooks Online company. No other use is licensed.

2. Restrictions

You may not: (a) use the Application other than for CFS’s internal business; (b) copy, distribute, sublicense, sell, or make the Application available to any third party; (c) reverse-engineer, decompile, or attempt to derive the source code except as permitted by law; (d) access or connect any QuickBooks company you are not authorized to use; or (e) use the Application in any unlawful manner or to violate any third party’s rights.

3. QuickBooks Online connection

The Application connects to CFS’s QuickBooks Online company through Intuit’s API and acts on CFS’s behalf to read reference data (accounts, vendors, customers) and create draw-disbursement transactions. Your use of QuickBooks Online is also subject to your and CFS’s agreements with Intuit. CFS may disconnect or revoke the Application’s access at any time.

4. Ownership

The Application, and the broader CFS internal automation of which it is a part, together with all related intellectual property, are and remain the exclusive property of CFS. This Agreement grants a license only and transfers no ownership.

5. Data

Data handled by the Application is CFS’s own accounting data. Its treatment is described in the CFS Draw Poster Privacy Policy, which is incorporated by reference.

6. Disclaimer of warranties

The Application is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. CFS does not warrant that the Application will be uninterrupted or error-free. Recorded entries should be reviewed by authorized personnel before being relied upon.

7. Limitation of liability

To the maximum extent permitted by law, CFS shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or related to use of the Application.

8. Term and termination

This Agreement applies while you are authorized to use the Application. CFS may suspend or terminate access at any time. Upon termination, the license granted here ends and you must stop using the Application.

9. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
